1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you and Rich Moore trading as Experi ("we," "us," or "our"), concerning your access to and use of the Experi website (experi.co.uk) and invoice management service (the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

3. Description of Service

Experi is an invoice creation and management tool designed to help freelancers and small businesses create, send, and track invoices.

Experi is NOT accounting software. Experi is NOT a substitute for professional accounting, tax, or legal advice. We do not provide financial, accounting, tax, or legal services.

The Service provides tools to create invoices, manage clients, and send payment requests. You remain solely responsible for the accuracy, legality, and tax compliance of all invoices and business records.

4. User Accounts

4.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Be responsible for all activity under your account
  • Notify us immediately of any unauthorized access

4.2 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use this Service.

4.3 Email Verification (Required)

You must verify your email address before you can send invoices or use email features. Email verification is mandatory for:

  • Sending invoices via email
  • Using automated email features
  • Enabling invoice reminders

Why Email Verification?

Email verification protects our sending reputation, prevents abuse, ensures anti-spam compliance, and protects both you and your clients from fraudulent activity.

Failure to verify your email will result in restricted access to email-based features. We reserve the right to suspend or terminate accounts that attempt to bypass email verification requirements.

5. Subscription Plans and Payment

5.1 Free Plan

The Free plan allows you to create up to 1 invoice per month. This is provided at no cost and may be modified or discontinued at any time.

5.2 Pro Plan

The Pro plan provides unlimited invoices and additional features for £9/month (or as displayed at time of purchase). Payment is processed via Stripe.

5.3 Billing

  • Subscriptions are billed monthly in advance
  • You authorize us to charge your payment method automatically
  • Prices are subject to change with 30 days' notice
  • Failed payments may result in service suspension

5.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Create fraudulent or misleading invoices
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to our systems
  • Transmit viruses, malware, or harmful code
  • Spam or harass other users
  • Scrape or collect data without permission
  • Use the Service to facilitate money laundering or fraud
  • Violate any applicable laws or regulations

7. User Responsibilities

You are solely responsible for:

  • The accuracy of all invoices you create
  • Correct tax calculations (VAT, sales tax, etc.)
  • Compliance with all tax laws and regulations
  • Payment collection and follow-up
  • Record-keeping and financial reporting
  • All client relationships and disputes
  • Backup of your data
  • Obtaining consent to email your clients
  • Complying with anti-spam and data protection laws

We provide tools, but you remain responsible for how you use them and the business decisions you make.

7.1 Client Email Consent

By sending invoices via email, you confirm and warrant that:

  • You have lawful permission to contact each recipient
  • You have a legitimate business relationship with each client
  • You comply with UK GDPR, PECR, and anti-spam regulations
  • You will honor any unsubscribe or opt-out requests
  • You will not use the Service for unsolicited marketing or spam

You acknowledge that sending invoices without proper consent may violate data protection laws and could result in legal action against you. You agree to indemnify us against any claims arising from your failure to obtain proper consent.

7.2 Rate Limits and Abuse Prevention

To protect our sending reputation and prevent abuse, we enforce the following limits:

  • Hourly limit: 10 emails per hour
  • Daily limit: 50 emails per day
  • Additional restrictions for new or unverified accounts

We reserve the right to suspend accounts that show signs of abuse, bulk sending, or spam activity. If you need higher limits, contact us to discuss your needs.

8. Intellectual Property

8.1 Our IP

The Service, including all software, designs, text, graphics, and trademarks, is owned by Rich Moore and protected by UK and international intellectual property laws.

8.2 Your Content

You retain ownership of all invoices, client data, and content you create. By using the Service, you grant us a limited license to host, store, and process your content solely for the purpose of providing the Service to you.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us or using the account settings.

9.2 By Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your use poses a security risk
  • You engage in fraudulent activity
  • Required by law

9.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will retain your data for 30 days, after which it may be permanently deleted. You should export your data before termination.

10. Disclaimers

DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free from viruses or harmful components
  • Results obtained will be accurate or reliable
  • Your invoices will comply with any specific laws or regulations

11. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RICH MOORE SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Incorrect invoices or tax calculations
  • Missed payments or client disputes
  • Tax penalties or fines
  • Financial losses of any kind

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Rich Moore, and our employees, contractors, and agents, from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your invoices or business practices
  • Your violation of any laws or regulations
  • Any dispute with your clients

13. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
