These Terms and Conditions constitute a legally binding agreement made between you and Richard Moore trading as Experi ("we," "us," or "our"), concerning your access to and use of the Experi website (experi.co.uk) and invoice management service (the "Service").
By accessing or using the Service, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

Experi is an invoice and financial record management tool designed to help freelancers and small businesses create, send, and track invoices, maintain business records, and prepare tax information. Where enabled, HMRC-connected features can retrieve authorised information and submit user-confirmed returns.

The Service provides tools to create invoices, manage clients, and send payment requests. You remain solely responsible for the accuracy, legality, and tax compliance of all invoices and business records.
By using this Service, you acknowledge and accept these Terms and Conditions in full. Your continued use of the platform constitutes your ongoing agreement to be bound by these Terms.

Experi provides calculation tools as a convenience feature only. These calculations are provided for informational purposes and should be treated as estimates or starting points, not as definitive figures.

Experi is a tool to assist with invoice creation, not a replacement for professional accounting, tax, or legal services.
HMRC-connected features are available only where Experi has the necessary production access and the feature is enabled for your account. You authorise Experi through HMRC's OAuth 2.0 journey and choose the permissions granted. You enter your HMRC sign-in details directly on HMRC's service; Experi does not collect or store them.
You must review the complete return, underlying records, dates, calculations, and declaration before confirming submission. Experi sends a return only after the required confirmation. You remain responsible for its accuracy, completeness, eligibility, deadlines, tax treatment, and payment of any tax due. A return accepted by HMRC may not be reversible through Experi and may require an amendment or direct contact with HMRC.
HMRC services may be unavailable, delayed, or return an uncertain result. Do not resubmit after an uncertain outcome until the status has been reconciled. Keep the records required by law and verify submission receipts and obligations in Experi or with HMRC. Experi is independent of HMRC and does not claim HMRC approval, accreditation, or endorsement.
MCP is an optional Pro feature that lets you give a compatible AI agent limited access to your Experi account. It is disabled until you enable it or approve a connection. Compatible clients can use OAuth sign-in and a permission screen; clients without OAuth support can use a separate, scoped manual credential.
AI agents can misunderstand instructions or use inaccurate source data. Review every material change before approval. The provider of your chosen agent processes data under its own terms and privacy policy.

Why Email Verification?
Email verification protects our sending reputation, prevents abuse, ensures anti-spam compliance, and protects both you and your clients from fraudulent activity.
Failure to verify your email will result in restricted access to email-based features. We reserve the right to suspend or terminate accounts that attempt to bypass email verification requirements.
Email sending also requires a manual access review. We may ask for information that supports your business activity or your authority to invoice for a named business. You can reply through the private Email sending review page; submitting evidence does not automatically grant sending access. A sole trader need not have a company registration certificate to request review.
The Free plan allows you to create up to 5 invoices and manage up to 3 clients. This is provided at no cost and may be modified or discontinued at any time with reasonable notice.
The Pro plan provides unlimited invoices and additional features for £9/month (or as displayed at time of purchase). Web payments are processed via Stripe. Where offered in the iOS app, subscriptions are purchased through Apple using the price and currency shown in the App Store purchase confirmation.
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. For web subscriptions, we do not provide refunds for partial months, except where required by law. Apple-billed subscriptions must be managed or cancelled through your Apple account; refund requests are handled through Apple. Deleting the app or your Experi account does not itself cancel an Apple subscription. These terms do not limit your statutory rights.
Sign in to the same Experi account to use your verified Pro access on web and mobile. You do not need a second subscription for the same account. RevenueCat verifies App Store purchases; it does not replace Apple as the billing provider. Use Restore purchases in the mobile app if you need to recover an existing App Store purchase.

We provide tools, but you remain responsible for how you use them and the business decisions you make. You must use the preview functionality to review all invoices and verify that all amounts, calculations, and details are correct before sending them to clients or using the information for any official purpose.
⚠️ Important: Email Consent
By sending invoices via email, you confirm and warrant that:
You acknowledge that sending invoices without proper consent may violate data protection laws and could result in legal action against you. You agree to indemnify us against any claims arising from your failure to obtain proper consent.
To protect our sending reputation and prevent abuse, we enforce the following limits:
We reserve the right to suspend accounts that show signs of abuse, bulk sending, or spam activity. If you need higher limits, contact us to discuss your needs.
The Service, including all software, designs, text, graphics, and trademarks, is owned by Richard Moore and protected by UK and international intellectual property laws.
You retain ownership of all invoices, client data, and content you create. By using the Service, you grant us a limited license to host, store, and process your content solely for the purpose of providing the Service to you.
You may terminate your account at any time by contacting us or using the account settings.
We may suspend or terminate your account immediately if:
Upon termination, your right to use the Service ceases. We will retain your data for 30 days, after which it may be permanently deleted. You should export your data before termination.
DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

All calculations provided by Experi are for informational purposes only and should not be relied upon as financial, tax, or legal advice. You must independently verify all calculations and consult with qualified professionals before making business decisions or government filings based on information from this Service.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RICHARD MOORE SHALL NOT BE LIABLE FOR ANY:
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
From time to time, we may offer beta features that are still under development. Beta features are clearly labelled and may be subject to additional terms.
Beta features are provided "as is" without warranty. We may modify, suspend, or discontinue any beta feature at any time without notice. Beta features may not be as reliable as generally available features and may contain bugs or errors.
By opting into a beta feature, you accept any additional terms presented at the time of activation. Current beta features with supplemental terms:
